John is the senior partner of the firm and head of the company/commercial team.
He is experienced in the areas of corporate finance & banking, group reorganisation, management buy-ins, management buy-outs, sale or purchase of businesses, sale or purchase of shares, share issues, joint ventures, venture capital agreements, computer agreements, distribution agreements, franchises, patent and trade mark licensing, software contracts, consultancy agreements, directors service agreements and shareholder agreements.
Employment
John has extensive experience of advising on employment contracts particularly for senior personnel, and has been retained by clients both to negotiate the terms of appointment of senior management, and to negotiate on behalf of the company direct with individuals the terms of their exit reporting direct to the Board of the holding company of the particular company in which such major personnel were engaged.
He also has extensive experience of dealing with issues arising under the Transfer of Undertakings (Protection of Employment) Regulations 2006 arising both in sales of businesses but also particularly in transfers of contracts between major service providers.
John has particular and focussed interest in issues of confidentiality affecting employees, and acted on behalf of Faccenda Chicken Limited in the leading case of Faccenda Chicken Limited -v- Fowler.
John also drafts and advises on restrictive covenants in the context of shareholders' agreements and company sale agreements as well as employment contracts, affecting both corporate persons and individuals.
He combines his legal expertise with a keen appreciation of each clients commercial interests. He acts for both local, national and international businesses and is president of the Banbury & District Chamber of Commerce.
